Terms and Conditions

These terms and conditions ("Terms and Conditions") govern the access and use that you make, from anywhere in the world, of the application, website, and/or content developed, managed, and/or administered (the "Platform") by FINYO.

These Terms and Conditions create obligations between Users and FINYO; therefore, Users must carefully read this document before using the Platform. However, if you use the Platform, you express your consent to be bound by these Terms and Conditions, in accordance with applicable legal provisions. If you disagree with any of the conditions or provisions set forth in these Terms and Conditions, you must refrain from using the Platform, deactivate your user account, and/or delete the application, as applicable.

By accessing and/or using the Platform provided by FINYO, you are accepting (i) these Terms and Conditions, (ii) the FINYO Privacy Policy (the "Privacy Policy"), which is available for review at the following link: https://finyo.ai/, and you agree to be bound by the foregoing.

Certain Services provided on the Platform are rendered by third parties unrelated to FINYO; therefore, all Users must carefully read the contractual conditions of each of them.

• FINYO: The company responsible for the Platform and Services.
• Platform: The mobile application, website, and any digital service operated by FINYO.
• Services: Functionalities available on the Platform (for example, expense tracking and visualization, analysis, and communications with the user).
• User: A person who accesses and/or uses the Platform and accepts these Terms and Conditions.
• Account: The profile associated with the User, their credentials, and the corresponding settings.
• Content: Any information, data, text, or material available on the Platform, including User-generated content.
• Providers: Third parties that support the operation of the Platform and/or the provision of Services.

The User agrees to use the Platform and Services exclusively for personal and lawful purposes.

The following is strictly prohibited:

• Using the Platform for fraudulent, unlawful purposes, or purposes that harm third parties.
• Manipulating, altering, or attempting unauthorized access to FINYO's technological infrastructure.
• Copying, distributing, or commercially exploiting any part of the Platform or its Content without express authorization from FINYO.
• Introducing viruses, malware, or other mechanisms that may affect the security or operation of the Platform.
• Using the Platform in a manner that causes damage, overload, or negatively affects FINYO or other Users.

All intellectual and industrial property rights over the Platform, Services, software, trademarks, logos, trade names, designs, interfaces, and other Content are the exclusive property of FINYO or its licensors. The User acknowledges that access to the Platform and/or Services does not grant any intellectual property rights or usage rights other than those expressly authorized in these Terms and Conditions. The reproduction, distribution, public communication, transformation, making available, or any other form of unauthorized exploitation of the aforementioned elements is prohibited.

FINYO does not guarantee the continuous, error-free, or secure availability of the Platform or Services. The User accepts that use of the Platform is at their own risk. FINYO shall not be liable, to the extent permitted by law, for:

• Losses or damages arising from technical failures, interruptions, or errors on the Platform.
• Damages caused by improper use of the Platform by Users or third parties.
• Economic or data losses resulting from decisions made based on information displayed on the Platform.
• Content, services, or products offered by third parties linked to the Platform.

FINYO reserves the right to modify, update, or supplement these Terms and Conditions at any time. Such modifications will be published on the Platform and will take effect from the date of publication. Continued use of the Platform after the publication of modifications will constitute express acceptance of the changes by the User. If the User does not agree with the modifications, they must stop using the Platform and cancel their Account.

Users are responsible for acquiring compatible hardware or the necessary devices to access and use the Services and/or the Platform. FINYO does not guarantee that the Services, or any part thereof, will work with any hardware or device. The Services may be subject to malfunctions or delays inherent to computing incompatibilities and interaction with other electronic communications. FINYO reserves the right to request additional documentation and/or information at any time, as well as to use any technology that allows verification of the information provided by you, which you hereby declare to be true. If a User's information could not be confirmed or validated through the Platform or by any other agreed means of communication, FINYO may temporarily or permanently deny Services to said User. FINYO reserves the right to modify the content of the Platform and these Terms and Conditions at any time, provided that users are notified of such modification. The mere continuation of use of the Services, as well as access to and/or use of the Platform, shall constitute full acceptance of the new Terms and Conditions by the User. If you do not agree with the notified modification, you must communicate this to hello@finyo.ai and the provision of Services will cease, with said notification serving as a termination of the relationship between the parties. In such case, you agree to withdraw your assets or cash under the terms established for such purposes in the Agreement entered into with FINYO. The Platform may occasionally be unavailable due to technical difficulties or Internet failures or any other circumstance beyond FINYO's control, and FINYO is not responsible for such failures or communication delays. If you cannot access the Platform or cannot perform any operation through it, you should contact the FINYO team through the contact means described in this Privacy Policy. To ensure the best possible level of service, FINYO reserves the right to interrupt the Service for maintenance work, system updates, or any other changes, with appropriate notice to Users. Within the limits of the law, FINYO may also decide to suspend or completely cancel the Service. If the Service is canceled, FINYO will cooperate with Users to allow them to withdraw Personal Data or information in accordance with applicable law. FINYO reserves the right to transfer, assign, dispose of by novation, or subcontract any of the rights or obligations set forth under these Terms and Conditions, taking into account the legitimate interests of Users. Users may not assign or transfer their rights or obligations under these Terms and Conditions in any way, except with the prior written permission of FINYO.

By using this Platform, Users confirm that they meet the following requirements:

• Must be over 18 years old
• Reside in a country where the service is available
• Comply with applicable local regulations
• Provide truthful and up-to-date information

To use the Service, Users must register or create a User account on the Platform, following the instructions described therein and providing all required data or information completely and truthfully. Failure to do so will result in the Services not being available. Users are responsible for safeguarding their access credentials with guarantees of confidentiality and security. For this reason, Users must also choose passwords that meet the highest strength standards allowed by this Platform. FINYO will at no time be responsible for unauthorized access to the User's account, as well as the use made of said account, unless it is due to causes directly and strictly attributable to FINYO, which must be determined by a final and unappealable judgment (that does not admit any appeal or proceeding to reverse said judgment). By registering, Users agree to assume full responsibility for all activities that take place under their username and password. The information and instructions that you transmit or communicate to FINYO using your access credentials shall have full probative value and legal force to prove the transaction performed, its amount, its nature, and the characteristics and scope of your instructions. Users must inform FINYO immediately and unambiguously, using the contact details provided in this document, if they believe their personal information, including but not limited to User accounts, access credentials, or personal data, have been compromised, improperly disclosed, or stolen, without FINYO having any liability subject to the provisions of these Terms and Conditions, as well as under applicable legislation.

Regarding your account:

• Registration requires identity verification.
• You are responsible for maintaining confidentiality.
• You must immediately report any unauthorized use.
• Only one account per user is allowed.

Through the Platform, FINYO offers a personal finance product where Users can record their income and expenses, as well as budgets, to gain a better understanding of their finances and provide the user with certain information to help achieve their goals, without FINYO guaranteeing at any time the achievement thereof or any economic benefit for the user.

• Recommendations are informational, not financial advice.
• Analyses are based on available historical data.
• We do not guarantee specific results.
• The system continuously learns and adapts.

The user commits to:

• Providing accurate and up-to-date information.
• Using the service ethically and legally.
• Maintaining the security of their credentials.
• Reporting any suspicious activity.

We commit to:

• Maintaining a stable and secure service.
• Performing scheduled maintenance.
• Notifying significant changes.
• Protecting user information.

We are not responsible for:

• Financial losses due to user decisions.
• Service interruptions caused by external factors.
• Accuracy of data provided by third parties.
• Consequences of improper use.

The service is provided:

• "As is" and "as available".
• Without implied warranties of any kind.
• Subject to modifications and updates.
• Without guarantee of specific continuity.

1. Modifications

   We reserve the right to:

2. Cancellation

   The service may be terminated:

   • For violation of these terms.

FINYO reserves the right, at its sole discretion, to suspend or delete User accounts at any time and without prior notice if deemed inappropriate, offensive, or in violation of these Terms and Conditions. The suspension or deletion of User accounts shall not entitle Users to demand any compensation, damages, or refund. The suspension or deletion of accounts due to causes attributable to the User shall not exempt said User from paying any applicable Platform fees or prices.

FINYO reserves all intellectual property rights over all content on the Platform and/or derived from the Services. All registered trademarks, whether word marks or figurative marks, and any other trademarks, trade names, service marks, word signs, illustrations, images, or logos that appear in connection with this Platform are and shall remain the exclusive property of FINYO or its licensors and are protected by applicable trademark laws and related international treaties. Consequently, Users may not use such content in ways that are not necessary or implicit in the proper use of the Platform and Services. In particular, but without limitation, Users may not copy, download, share (beyond the limits established below), modify, translate, transform, publish, transmit, sell, sublicense, edit, transfer, assign to third parties, or create derivative works from the content available on this Platform, nor allow any third party to do so through the User or their device, even without the User's knowledge. Where expressly stated on this Platform, the User may download, copy, and/or share any content available through this Platform solely for personal and non-commercial use, provided that copyright attributions and all other attributions requested by FINYO are properly made. Limitations or exceptions to copyright established by law shall not be affected.

1. Restrictions

   The following is expressly prohibited:

   • Copying or modifying source code.
   • Reverse engineering.
   • Using the brand without authorization.
   • Distributing protected content.

This Platform and the Services may only be used within the scope for which they are provided, in accordance with these Terms and Conditions and applicable legislation. Users shall be solely responsible for ensuring that their use of this Platform and/or the Services does not infringe any law or regulation or violate third-party rights. Consequently, FINYO reserves the right to take appropriate measures to protect its legitimate interests, including denying Users access to this Platform or Services, terminating contracts, reporting inappropriate conduct carried out through this Platform or the Services to competent authorities, such as judicial or administrative authorities, whenever Users perform or are suspected of having performed any of the following activities:

• Violations of laws, regulations, and/or these Terms and Conditions.
• Infringement of third-party rights.
• Causing considerable harm to the legitimate interests of FINYO.
• Offending FINYO or any third party.

These Terms and Conditions shall be governed by and construed in accordance with the laws in force in the United Mexican States. For the interpretation and enforcement thereof, the parties expressly submit to the jurisdiction of the competent courts of Morelia, Michoacán, waiving any other jurisdiction that may correspond to them by reason of their present or future domiciles.
